VCY filed in July to acquire WUBU for $420,000. Since then, Sound Management flipped Classic Hits ?Throwback 102.3? WYET New Carlisle/South Bend IN to Adult R&B ?The New 102.3? on September 1 to fill the hole to be created by WUBU’s demise. With WUBU gone, WYET has now taken on its former “Mix” identity as “The New Mix 102.3“. WUBU afternoon host ‘The Godfather Gino J’ Johnson also jumped over to WYET for the same duties.     From Radio Insight: ‘Jerry Rogers’ Roth’s Thoroughbred Communications Inc. is selling AAA “Q105.3” WRHQ Savannah GA to Ocie ‘OC’ Welch III’s Bradley Creek Broadcasting for $1.7 million. The deal includes the two real estate assets of WRHQ. Welch owns multiple Ford and Lincoln dealerships in the the Savannah/Hilton Head area as well as the Savannah Country Club. Rogers has owned WRHQ since its sign-on in 1991 and also serves as General Manager and afternoon host at the station. His radio career in the city dates back to 1969 when he joined 1400 WSGA as Music Director and afternoon host. He would rise to Program Director in 1971 and also added those duties for sister “Z102” WZAT before rising to General Manager in 1976. Rogers was inducted in the Georgia Radio Hall of Fame in 2009. In a Facebook post announcing the purchase, Welch simply states, “Format will never change.” more

    From Radio Insight: Townsquare Media Alternative 94.3 WCYY Biddeford/Portland ME and 103.7 WPKQ North Conway NH will drop their simulcast of “98.5 The Sports Hub” WBZ-FM Boston’s “Toucher & Rich” from mornings this week and return to a locally originating music-intensive show. Former WCYY personality Rob Riccitelli will return to the station to host mornings starting Monday, October 9. Riccitelli previously worked at WCYY from 2000 to 2016 where he would rise to APD/afternoon host. He would later host middays on Saga Classic Hits “Rewind 100.9” WYNZ and weekends on Hot AC “Coast 93.1” WMGX from 2017 until 2020 when he decided to focus on real estate. Riccitelli writes, “My Townsquare Media family has invited me to come back to do the only shift I never did in the 16 years I was there and will also allow me to continue to be a full time real estate agent ?     From Radio Insight: After stunting on Sunday and Monday with songs with “Fox” in the title including Ylvis “What Does The Fox Say”, Sweet “Fox On The Run” and Elton John “The Fox”, Michigan Radio Communications’ “ESPN 100.9” WLUN Pinconning/Saginaw MI relaunched at 5:00pm today as “100.9 The Mitt“. With the relaunch, the station will revamp its programming lineup to include more local and regional programming and Fox Sports Radio national shows. The station will debut a daily local show “The Payoff” from 6-7pm hosted by Ben Bosscher, John Vicari and Brad Tunney. Bosscher served as on-field host for the co-owned Great Lake Loons minor league baseball team, Vicari is the voice of the station’s high school sports and Broadcast & Content Coordinator for the station, and Tunney is WLUN’s new General Manager. The remainder of WLUN’s lineup will now feature the statewide “X?s and Bro?s Morning Show” hosted by Anthony Bellino from 6-9am, Fox’s Dan Patrick Show and Colin Cowherd in middays, and “The Huge Show” with Bill Simonson from 3-6pm. The station’s parent company is owned by the Michigan Baseball Foundation that also owns the Dow Diamond stadium and Midwest League’s Great Lakes Loons with the station’s studios located in the press box of the ballpark. The Michigan Baseball Foundation Enterprises announced today a rebranding of WLUN-FM, establishing a partnership with Fox Sports Radio and the name Sports Radio 100.9 The Mitt, effective Monday, October 2nd. The partnership begins a new era of sports radio in the Great Lakes Bay region. Sports Radio 100.9 The Mitt will now feature the two biggest names in sports talk radio with The Dan Patrick Show and The Herd with Colin Cowherd in the weekday lineup, plus the addition of state-wide Michigan sports morning show, X?s & Bro?s. For the first time since 2014, the station will integrate an in-house talk show from the studios at Dow Diamond. The Payoff will air from 6 pm to 7 pm and talk everything Michigan sports. WLUN-FM was purchased in 2008 by MBF Enterprises and will continue to be the flagship station for the Great Lakes Loons. Additionally, local high school football and basketball games and Michigan State Football and Basketball will remain signature play-by-play properties. Westwood One?s NFL coverage serves as the biggest addition to the play-by-play programming. Thursday, Sunday and Monday Night Football broadcasts will air on The Mitt all season long. In conjunction with the rebrand, Brad Tunney steps into the role of General Manager for Sports Radio 100.9 The Mitt. Murphy joined WIXX in September 1991 after a 3? year stint at WLMG New Orleans. His final show will be on Tuesday, November 28th. The Green Bay native also hosted mornings in Ishpeming MI and Oshkosh WI early in his career. He has been teamed with Katie Schurk for the past 20 years and Nick Vitrano for the past 12. Murphy has also hosted in-game content for the NFL’s Green Bay Packers since 1995. In September of 1991, a new morning show began on 101.1 WIXX, Green Bay/Appleton/Oshkosh.* Jim Murphy returned to his hometown of Green Bay, WI after a 3? year stint at WLMG in New Orleans. Now, after a 32-year run at WIXX, Murphy in the Morning is moving on to retirement. Murphy in the Morning has been consistently #1 during his three-decade tenure. Currently hosting the show with Katie Schurk and Nick Vitrano, Katie is on her 20th year and Nick his 12th. Like our Quarterbacks, we keep our talent for a long time. Murphy came from a Soft AC format and his early presentation on WIXX needed somewhat of an energy boost?.MWC owner, Duke Wright informed me and WIXX Program Director Dan Stone, we had two weeks to get the show right or changes would be made. Well, 32 years later, I think the show got it right. Murphy is a true friend to all who know him. We will miss him and congratulate him on an amazing journey?.     From Radio Insight: FCC ActionsLiberty University has agreed to turn in the license of student-run Christian CHR “90.9 The Light” WQLU Lynchburg VA as part of a Consent Decree with the FCC. Liberty will also pay a $10,000 civil penalty to the FCC to settle an investigation into violations of operating the station at a variance from its licensed parameters and making incorrect statements regarding the Station?s operations to the FCC. In the agreement, Liberty admitted that WQLU operated at a variance from its licensed parameters for more than 5 years and “violated section 1.17(a)(2) of the Rules by providing material factual information that was incorrect without a reasonable basis for believing that such material factual information was correct and not misleading. However, Licensee believed in good faith that the change in the Station?s tower site could be considered a correction of licensed coordinates rather than a site change, and thus Licensee did not intentionally provide false information to the Commission”. The station was licensed to operate from a site on Candlers Mountain with 100w/184m, but in 2011 sought an STA to operate from a site on Monogram Hill. The station stopped applying for STA renewals in 2015 leading to its approval expiring in May 2015. WQLU would once again seek an STA in August 2020 requesting permission to operate from Monogram Hill. Following an FCC inquiry, the station stated that its licensed tower had been dismantled but it had also resumed operations from a different tower on Candlers than specified in their license. Liberty University also owns the “Journey FM” Christian AC network on eight stations and seven translators across Virginia and North Carolina based at 88.3 WRVL Lynchburg. KGHL Radio LLC has entered into a Consent Decree and an $8000 fine for transferring Farm/Classic Country 790 KGHL/94.7 K234CP Billings MT from Taylor and Shannon Brown to trusts controlled by their children (he Courtney E. Brown Kibblewhite 2021 GST Trust and the Colter W. Brown 2021 GST Trust) without proper approval. The Browns filed the transfer of control application with the FCC in April 2022 despite the actual transfer being completed in October 2021. Apple City Broadcasting Company agreed to a Consent Decreee and $1000 penalty for not notifying the commission of the deaths of three of their four shareholders and change of control of their 860 WACB Taylorsville and 1570 WTLK Taylorsville NC. The company was formed in 1993 with Roger Lee Brown and William Norris Keever holding 45% stakes and their respective wives Mary Alice Brown and Sara McClain Keever each holding 5% stakes.     From Radio Insight: Jamtraxx Media has announced that it and its syndicated Radio Mixes division will cease operations following their releases for the weekend of October 6. Led by Rob Austin, Jamtraxx and Radio Mixes currently produce 23 mixshows and had been distributed by United Stations. Austin will keep the Jamtraxx name alive through his programming consultancy that he intends to focus on. In a note shared with us, Austin writes: I?ve done a lot in the last 30 years in radio by working at a non commercial commercial station at Loyola University Chicago called Energy 887, to producing the Eddie and Jobo Morning Show at B96 in Chicago, to starting JamTraxx and RadioMixes in 1993, and then via national syndication in 2000, leading to radio station ownership in the late 10s, shortly prior to Covid, and have really come full circle during my career, thus far. I just want to thank Todd Cavanah, Erik Bradley, and Don Marion for believing in our vision for commercial mix shows while at B96 and being our first affiliate that would amass hundreds of affiliates later through Andy Denemark at USRN and Paul Hollins and Jessica D?Agostin at Radio Express. To my ex-partner Joe Delfin who started the company along side me and who later left to focus on his mobile DJ business, I couldn?t have done this without him. It was truly our baby and he is like a true brother from another mother. To our employees, past and present, Will Calder, Cory Flanigan, Erin Cummings, Doug Holt, Marcus McBride, Paul Paige, Justin Cowen, Scott Llamas, and Joshua Deurksen; thank you for producing fully formulated mixshows that went on to attract the biggest and best AQH in the history of our industry.     From Radio Insight: Radio One parent Urban One Inc. has received a letter from the The Nasdaq Stock Market that after previous warnings, a process that could result in the company’s delisting from the stock exchange has begun. Urban One will request a hearing with the Nasdaq Hearings Panel to stay any delisting action through October 20, 2023 and then through the hearing period through at least March 26, 2024. Urban One’s delisting is due to not timely filing periodic financial reports with the SEC. The company hasn’t filed their Q1 or Q2 2023 quarterly reports. Urban One terminated its relationship with BDO USA as its independent registered public accounting firm and appointed Ernst & Young to replace them as of July 12. Urban One stated, “During the course of its preparation of the Q1 2023 Form 10-Q, the Company identified certain errors with regard to the timing of expense recognition of non-cash stock based compensation and the accounting for the Company’s investment in the operations of its Richmond casino joint venture, RVA Entertainment Holdings, LLC, the activities of which primarily related to 2021. The Company is currently evaluating the related accounting for the non-cash stock based compensation matter and if the Company’s investment in RVA Entertainment Holdings, LLC should have been consolidated during the historical periods due to its then 75% ownership interest. The Company is also in the process of evaluating the impact these matters may have on its internal controls over financial reporting. The ongoing resolution of these issues has further delayed the preparation process. The Company anticipates that these matters will be resolved in the near future. Once these matters are resolved, the Company anticipates filing both of the Delinquent Reports in an expedited manner.” Today, Urban One, Inc. (the “Company”), reported that it received a letter from the Listing Qualifications Department (the “Listing Department”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that Nasdaq has initiated a process that could result in the delisting of the Company’s securities from Nasdaq as a result of the Company not being in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”), which requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission (the “SEC”). The Staff Determination has no immediate effect and will not immediately result in the suspension of trading or delisting of the Company’s shares of common stock. The Company intends to timely request a hearing before a Nasdaq Hearings Panel (the “Hearings Panel”). The hearing request will automatically stay any suspension or delisting action through October 20, 2023. In connection with the hearing request the Company will request that the stay be extended through the hearing and the expiration of any additional extension period granted by the Hearings Panel following the hearing. In that regard, pursuant to the Nasdaq Listing Rules, the Hearings Panel may grant an additional extension period through March 26, 2023. However, there can be no assurance that the Hearings Panel will grant the Company an additional extension, or that the Hearings Panel will grant the Company’s request for an extended stay, or that the Company will be able to regain compliance by the end of any additional extension period. The Staff Determination was issued because the Company has not filed its Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2023 (the “Q1 2023 Form 10-Q”) and June 30, 2022 (the “Q2 2023 Form 10-Q” and, together with the Q1 2023 Form 10-Q, the “Delinquent Reports”) by the Extension Deadline (defined below). As previously disclosed July 12, 2023, on July 11, 2023, the Audit Committee of the Company’s Board of Directors (the “Audit Committee”) approved the dismissal of BDO USA, LLP as the Company’s independent registered public accounting firm effective on July 12, 2023. At that time, the Audit Committee voluntarily appointed Ernst & Young LLP (“E&Y”) to serve as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023 effective as of July 12, 2023. As previously disclosed, on August 22, 2023, the Company received a letter from the Listing Department on August 16, 2023 (the “Third Nasdaq Letter”), notifying the Company that it was not in compliance with requirements of the Rule as a result of not having timely filed the Delinquent Reports. As previously disclosed, the Company received a notice from Nasdaq on April 3, 2023 (the “First Nasdaq Letter”), notifying the Company that it was not in compliance with the Rule due to its delay in filing the 2022 Annual Report on Form 10-K (the “2022 Form 10-K”). On May 10, 2023, the Company filed a Form 12b-25 Notification of Late Filing with respect to its Q1 2023 Form 10-Q, triggering a second letter from Nasdaq dated May 19, 2023 (the “Second Nasdaq Letter”), as previously disclosed on May 24, 2023. In accordance with the Second Nasdaq Letter, the Company filed a plan with Nasdaq to regain compliance with the listing requirements that include completion and filing of the 2022 Form 10-K and the Q1 2023 Form 10-Q with the SEC. Nasdaq accepted the Company’s compliance plan and granted the Company 180 days, or until September 27, 2023 (the Extension Deadline”), for filing the 2022 Form 10-K and the Q1 2023 Form 10-Q, to regain compliance. The Company subsequently filed the 2022 Form 10-K on June 30, 2023. However, the Company has yet to file its Q1 2023 Form 10-Q and this, as well as the identification of certain errors with the filed 2022 Form 10-K, has delayed the Company’s preparation and filing of its Q2 2023 Form 10-Q. The Company is in the process of completing its Q1 2023 Form 10-Q and anticipates filing the Delinquent Reports as soon as practicable after resolution of the discrete accounting issues identified below. During the course of its preparation of the Q1 2023 Form 10-Q, the Company identified certain errors with regard to the timing of expense recognition of non-cash stock based compensation and the accounting for the Company’s investment in the operations of its Richmond casino joint venture, RVA Entertainment Holdings, LLC, the activities of which primarily related to 2021. The Company is currently evaluating the related accounting for the non-cash stock based compensation matter and if the Company’s investment in RVA Entertainment Holdings, LLC should have been consolidated during the historical periods due to its then 75% ownership interest.
